Refresh Coach Terms of Use

Refresh Coach ("we," "us," or "our") owns and operates refreshcoach.com and other sites linking to these Terms of Use (individually, the "Site", and collectively, the "Sites"). Through the Sites, Refresh Coach provides various offerings, information, and resources related to the products and services available on our Sites (each a "Service" and collectively, the "Services"). References to the Sites include the Services.

Refresh Coach may change, suspend, modify, or discontinue all or any part of the Sites in its sole discretion with or without notice. Refresh Coach is not liable if all or any part of a Site is, for any reason, unavailable at any time or for any period. Refresh Coach reserves the right to block or deny access to any of the Sites to anyone at any time for any reason. Refresh Coach is not obligated to correct or update any information or content on the Sites.

General Terms

These terms of use (together with any additional terms, as described below) ("Terms of Use") are an agreement between Refresh Coach and the individuals that use the Sites (or the parent/legal guardian of any such individuals under the age of 18) ("users," "you," or "your"). The Terms of Use govern your access to and use of the Sites. Subject to your full and ongoing compliance with these Terms of Use, Refresh Coach hereby grants you a limited and revocable right to access and use the Sites, solely for their intended purposes. If you use or access the Sites on behalf of a business or other entity, you must have authority to bind that business/entity. In such case, the term "you" includes the business/entity and any of its agents that use or access the Sites. By using or accessing the Sites, you represent and warrant that you are of legal age to accept these Terms of Use and form a binding contract with Refresh Coach.

IF YOU ARE UNDER THE AGE OF 18 (A MINOR), YOUR PARENT OR LEGAL GUARDIAN MUST READ AND CONSENT TO THE TERMS OF USE BEFORE YOU USE THE SITES. BY PERMITTING A MINOR TO USE THE SITES, THE MINOR'S PARENT OR GUARDIAN BECOMES SUBJECT TO THE TERMS OF USE AND AGREES TO BE RESPONSIBLE FOR THE MINOR'S ACTIVITIES ON THE SITES.

We may now or in the future offer multiple platforms (the "Refresh Coach Platforms") through our Sites for use in accessing our Services. To use the Platforms, you must adhere to any additional terms and conditions specific to each Platform, as identified below and/or presented to you at the time you use the Platforms. Certain offerings on the Sites may be free of charge or offered for a fee, and we reserve the right to change what Services are offered free of charge or for a fee, and the fees charged for any given Service.

PLEASE READ THE TERMS OF USE CAREFULLY. BY ACCESSING ANY PAGES ON THE SITES; CREATING AN ACCOUNT; USING ANY SERVICES MADE AVAILABLE THROUGH THE SITES; POSTING, SUBMITTING, TRANSMITTING, OR UPLOADING ANY INFORMATION OR CONTENT THROUGH THE SITES; OR USING ANY PLATFORM, YOU EXPRESSLY AGREE THAT YOU, OR YOUR PARENT OR LEGAL GUARDIAN FOR USERS UNDER THE AGE OF 18, HAVE READ, UNDERSTAND, AND AGREE TO THE TERMS OF USE AND ANY APPLICABLE POLICIES AND DISCLAIMERS REFERENCED HEREIN OR ON THE SITES. DO NOT USE THE SITES IF YOU DO NOT AGREE TO THE TERMS OF USE AND ALL APPLICABLE POLICIES AND DISCLAIMERS.

Changes to the Terms of Use

As stated above, Refresh Coach reserves the right to update or modify the Terms of Use at any time, with or without prior notice. Any such changes will become effective upon the earlier of (i) the first time you use the Sites or Services with actual notice of the change(s), or (ii) 30 days after the change(s) are publicly posted on the Sites. Disputes arising under these Terms will be resolved in accordance with the version of the Terms of Use in place at the time the dispute arose. We use reasonable efforts to ensure that the Terms of Use identify the last date of update.

In the case of material changes to the Terms, Refresh Coach will make reasonable efforts to notify you of the change, such as by sending an email to any address we have on file, displaying a pop-up window on the Sites, or other similar mechanism. We encourage you to review the Terms of Use frequently to stay informed of any changes.

You agree that you will not post any User Content that (a) infringes on or violates any intellectual property rights, (b) fails to comply with applicable laws and regulations, or (c) contains any expressions of hate, abuse, offensive images or conduct, or any similar content. Without limiting the foregoing, User Content must not:

Coaching Services, Payment & Cancellation

Coaching Programs

Refresh Coach offers individual coaching programs, including the Eight-Week Refresh and Refresh Entry, as described on this Site. All coaching services are delivered through private one-on-one sessions conducted via Zoom or another agreed video conferencing platform.

Coaching Is Not Therapy

Coaching is a forward-focused professional development relationship. It is not a substitute for psychotherapy, counseling, mental health treatment, medical advice, or legal counsel. If a client is experiencing a mental health condition or crisis, they are encouraged to seek support from a licensed professional. Refresh Coach does not diagnose, treat, or provide clinical services of any kind.

Complimentary Refresh Ignite Discovery Session

Refresh Coach offers a complimentary 60-minute Refresh Ignite Discovery Session at no charge and with no obligation to enroll. This session is provided as an introduction to the coaching approach and does not constitute the beginning of a paid coaching program. No payment is collected in connection with this session.

Client Responsibilities

Coaching is a collaborative process. The client agrees to show up to sessions prepared and on time, engage honestly and openly, and take responsibility for the decisions they make and the actions they take during and after the coaching engagement. The coach provides guidance, frameworks, and accountability — the client does the work. Progress depends on the client's active participation and commitment between sessions.

Payment

Payment for coaching services is processed through PayPal. Full payment terms and program fees are provided at enrollment. By enrolling in a coaching program, you agree to the payment terms presented at that time.

Refund Policy

All payments for coaching services are non-refundable once the program has begun. Because coaching sessions and resources are reserved specifically for each client, unused sessions are not eligible for refund if the client chooses to discontinue the program.

The sole exception to this policy is a documented natural disaster or act of God that makes it impossible for either party to continue. In such circumstances, affected sessions will be rescheduled at a mutually convenient time rather than refunded.

Clients who wish to cancel before a program begins should contact Refresh Coach in writing at meshele@refreshcoach.com. Any pre-program cancellation will be handled according to the terms provided at enrollment.

Program Pause or Deferral

A client who needs to pause their program due to a significant personal or professional life event may request a one-time deferral of up to 30 days by contacting Refresh Coach in writing at meshele@refreshcoach.com. Deferrals are granted at the coach's discretion and must be requested before the affected session. Unused sessions do not carry over beyond the agreed deferral window and are not eligible for refund.

Rescheduling and Missed Sessions

Clients may reschedule a coaching session by providing at least 24 hours' notice prior to the scheduled session time. Sessions canceled with less than 24 hours' notice, or missed without notice, may be considered used and are not eligible for rescheduling or refund.

If the coach needs to cancel or reschedule a session due to illness, emergency, or other unforeseen circumstance, the client will be notified as soon as reasonably possible and the session will be rescheduled at a mutually convenient time at no additional charge.

Communication Between Sessions

Clients are welcome to reach out between sessions by email at meshele@refreshcoach.com for brief questions or to share a relevant update. The coach will respond within 2 business days. Between-session communication is intended for light support and is not a substitute for scheduled coaching time. Extended support or additional sessions may be arranged separately.

Online Sessions

Clients are responsible for having a reliable internet connection, a functioning device, and a suitable location for each session. Clients should join the scheduled session on time. If a client does not attend within 15 minutes of the scheduled start time without prior notice, the session may be considered missed.

If a reasonable technical problem prevents a session from taking place, the client should notify the coach as soon as possible. The coach may reschedule the session when reasonably appropriate. Refresh Coach is not responsible for technical problems caused by the client's device, internet connection, or software.

Confidentiality

Refresh Coach treats all information shared during coaching sessions as confidential. The coach will not disclose personal information shared by a client to any third party without the client's written consent, except as required by law. Clients are similarly asked to respect the confidentiality of any information shared by the coach in the course of the coaching relationship.

Sessions may not be recorded by the client without the prior written consent of the coach.

Intellectual Property

All frameworks, materials, worksheets, exercises, and session content provided by Refresh Coach are the intellectual property of Refresh Coach and are shared for the client's personal use only. Clients may not reproduce, distribute, share, or use any Refresh Coach materials for commercial purposes without prior written permission.

Testimonials and Marketing

Refresh Coach may request permission to use anonymized client feedback, results, or testimonials for marketing purposes. No client will be identified by name or identifying detail without their explicit written consent. Clients have the right to decline this request at any time without affecting their coaching relationship.

Right to Terminate

Refresh Coach reserves the right to terminate the coaching relationship at any time if a client engages in abusive, threatening, or otherwise inappropriate conduct, or if the coaching fit is determined to no longer serve the client's best interests. In the event of coach-initiated termination for reasons other than client misconduct, any remaining unused sessions will be credited toward a future program at the coach's discretion. No cash refunds will be issued.

A client may also choose to end the coaching relationship at any time. As stated in the Refund Policy above, payments already made are non-refundable.

No Guaranteed Results

Coaching provides guidance, accountability, and support. Individual results vary. Refresh Coach does not guarantee any specific outcome, including career advancement, revenue, business growth, or other personal or professional result. The client is solely responsible for the decisions they make and the actions they take during and after the coaching engagement.

Limitation of Liability

To the fullest extent permitted by applicable law, Refresh Coach's total liability to a client for any claim arising out of or related to coaching services shall not exceed the total amount paid by that client for the program giving rise to the claim. Refresh Coach is not liable for any indirect, incidental, consequential, or special damages of any kind.

Dispute Resolution

In the event of a dispute arising out of or relating to these coaching terms or any coaching services provided, the parties agree to first attempt to resolve the matter informally by contacting Refresh Coach at meshele@refreshcoach.com. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through mediation or binding arbitration in the State of California before initiating any court proceeding.

Refund Requests

All refund requests must be submitted in writing to meshele@refreshcoach.com. Please include your name, enrollment date, and the reason for your request.
